This website (https://www.stayonline.com/, this "Site") is operated by ALDER SOL Holdings, LLC ("StayOnline"). Throughout the website, the terms "we", "us", and "our" refer to StayOnline. By using this Site, including all information, tools, and services available from this website, you agree to be bound by the terms, conditions, and policies set forth on this webpage (these "Terms"). The Terms apply to all users of this website, including, without limitation, users who are customers, vendors, merchants, browsers, and/or content contributors.

Please read these Terms carefully before using this Site. By using this Site, you agree to be bound by these Terms. If at any time you do not accept all of these Terms, you must immediately stop using the Site.

The headings used in this agreement are included for convenience only and will not limit or otherwise affect these Terms.

YOUR ACCOUNT

When placing orders through the Site, you have the option of checking out as a guest or creating an account. In connection with placing any order, whether through a new or existing account or as a guest, you will be required to enter your name, billing and shipping address(es), phone number, email address, and payment information. If you create an account, you will also be required to create and enter a username, password, and security code. StayOnline reserves the right to disable or suspend guest checkout at any time for any duration that StayOnline deems necessary or appropriate for any reason (or no reason) whatsoever.

If you place a subsequent order through your account, you are thereby authorizing StayOnline to bill you for the products and services provided without additional confirmation using any prior billing information previously entered into the Site.

ACCURACY OF BILLING AND ACCOUNT INFORMATION

You agree to provide current, complete, and accurate purchase and account information for all purchases made through our Site or over the phone. You agree to promptly update your account and other information, including your email address and credit card numbers and expiration dates, so that we can efficiently complete your transactions and contact you as needed. By maintaining a StayOnline account you agree StayOnline may process any credit card on file for orders placed through that account. Updating StayOnline of any changes to billing preferences or deviations from past orders is your sole responsibility.

LICENSE AND ACCESS

StayOnline grants you a limited license to access and make personal use of the Site for non-entrepreneurial purposes only and only to the extent such use does not violate these Terms. You may download, print, and copy content for personal, noncommercial purposes only, provided you do not modify or alter the content in any way, delete or change any copyright or trademark notice, or violate these Terms in any way. Accessing, downloading, printing, posting, storing, or otherwise using the Site or any of its content for any commercial purpose (other than for the purpose of shopping for and/or purchasing products from StayOnline), whether on behalf of yourself or on behalf of any third party, constitutes a material breach of these Terms.

API

StayOnline may from time to time grant customers or other third parties access to the StayOnline API (the "API") for the practice of sharing product information and pricing. Access to the API is granted at the StayOnline's sole discretion and is revokable at any time without notice. Access to or use of the API without prior approval or in an unapproved manor is strictly forbidden.

TECHNICAL/PROPRIETARY INFORMATION.

Proprietary information, including drawings, documents, technical data, reports, designs, inventions, and other technical information supplied by StayOnline shall remain StayOnline's sole property and shall be held in confidence by you. Data shall not be reproduced, used, or disclosed to others by you without StayOnline's prior written consent.

PROHIBITED USES

In addition to other prohibitions as set forth in the Terms, you are prohibited from using the Site or its content: (i) for any unlawful purpose; (ii) to solicit others to perform or participate in any unlawful acts; (iii) to violate any international, federal, or state regulations, rules, laws, or local ordinances; (iv) to infringe upon or violate our intellectual property rights or the intellectual property rights of others; (v) to harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability; (vi) to submit false or misleading information; (vii) to upload or transmit viruses or any other type of malicious code that will or may be used in any way that will affect the functionality or operation of the Site or of any related website; (viii) to collect or track the personal information of others; (ix) to spam, phish, pharm, crawl, or scrape information; (x) for any obscene or immoral purpose; or (xi) to interfere with or circumvent the security features of the Site or any related website. We reserve the right to terminate your use of the Site or any related website for engaging in any of the aforementioned prohibited uses.

THIRD-PARTY LINKS

This website may contain links to other websites over which StayOnline has no control. The inclusion of any link is not an endorsement by StayOnline of the website, the website's owner, or any content available on the website. By clicking any link on the Site to other websites, you accept any and all risk that the external site may cause harm to you or your property and agree to indemnify us for claims based on any such harm.

ACCURACY, COMPLETENESS, AND TIMELINESS OF INFORMATION

We are not responsible if information, including images, made available on this Site is not accurate, complete, or current. The material on this Site is provided for general information only and should not be relied upon or used as the sole basis for making decisions without consulting more accurate, complete, and timely sources of information. Any reliance on the material on this Site is at your own risk.

ERRORS, INACCURACIES, AND OMISSIONS

Occasionally there may be information, including images, on our Site that contains typographical errors, inaccuracies, or omissions that may relate to product descriptions, appearance, pricing, promotions, offers, product shipping charges, transit times, or availability. We reserve the right to correct any errors, inaccuracies, or omissions, and to change or update information or cancel orders if any information on our Site is inaccurate at any time without prior notice, including after you have submitted your order.

We undertake no obligation to update, amend, or clarify information and/or images on our Site or on any related website, including without limitation, pricing information, except as required by law. No specified update or refresh date applied on our Site should be taken to indicate that all information on our Site has been modified or updated.

MODIFICATION AND TERMINATION

We reserve the right to make changes to this Site and these Terms at any time. You can determine when these Terms were last revised by referring to the "LAST UPDATED" legend at the top of these Terms. Your continued use of the Site will indicate your acceptance of the current Terms; however, any change to these Terms after your last usage of the Site will not be applied retroactively. StayOnline reserves the right, without notice and at its sole discretion, to terminate your use of the Site and to block or prevent future access to and use of the Site (i) if you violate any of these Terms, (ii) for any other reason, or (iii) for no reason. Upon any such termination, your right to use the Site will immediately cease.

You agree that we shall not be liable to you or any third party for any termination of your access to the Site. Upon termination, all provisions of these Terms which are by their nature intended to survive termination, all representations and warranties, all limitations of liability, and all indemnities shall survive such termination.

PERSONALLY IDENTIFIABLE INFORMATION POLICY

We share your personally identifiable information in limited circumstances, such as when you have granted us permission to do so or when it is necessary to fulfill our obligations to you. By way of example and not limitation, we must share certain information with third parties such as the United States Postal Service, United Parcel Service (UPS), Federal Express, local courier services, and our credit card payment processing service in order to fulfill orders. Additionally, we may share your personally identifiable information with our third-party distributors, who may use such information to provide you with updates about our products, process your orders, or fulfill other requests from you.

We reserve the right to transfer personally identifiable information in connection with the sale or purchase of other business assets.

We will release your personally identifiable information when we believe release is appropriate to comply with applicable law or government request, or to protect the rights, property, or safety of our company and/or our customers. This includes exchanging information with other companies and organizations for fraud protection and credit risk reduction.

Your content (not including credit card information), may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices. Credit card information is always encrypted during transfer over networks.

We maintain an opt-in mailing list so that we may notify interested customers of sales, specials, new products, and other similar items or promotions. We respect and abide by all laws concerning a customer's wish to opt out at any time. If you feel you are receiving unsolicited emails that are not related to an order, you may update your preferences from a link at the bottom of such email, or by contacting us at personalprivacy@stayonline.com to reach our Data Protection Officer.

COOKIES POLICY

We use cookies to process transactions. The Site requires that a cookie be placed on your computer to track your session. We never store your email address, physical address, credit card number, or any other sensitive information in cookies.

Third-party cookies may be used to track website performance and trends. You may block or disable third-party cookies at any time in your browser's settings.

ORDER AND PAYMENT POLICIES

Phone Orders

We strongly encourage you to place orders through our website or by sending a PO to Orders@StayOnline.com rather than over the phone. Orders placed over the phone may be subject to a reasonable surcharge and delayed processing.

Your Information

If you wish to place an order for products, you will be asked to supply certain information relevant to your order including, without limitation, your name, your email, your phone number, your credit card number, the expiration date of your credit card, your billing address, and your shipping information. You represent and warrant that: (i) you have the legal right to use any credit or debit card(s) or other payment method(s) in connection with any order; and that (ii) the information you supply to us is true, correct, and complete. By submitting such information, you grant us the right to provide the information to payment processing third parties for purposes of facilitating the completion of your order.

Prices

StayOnline reserves the right to change the prices of its products at any time prior to accepting an order. Prices listed do not include taxes, including, without limitation, Value-Added Tax (VAT) or excise taxes, sales taxes, duties, export tariffs, or any other costs assessed by a government authority.

All prices quoted by StayOnline are valid for 30 days unless expressly noted or impacted by changes in tariffs or other costs assessed by a government authority. This includes, but is not limited to, quotes provided by and conveyed through the Site, email, or phone.

All prices listed or quoted are valid only with respect to quantities of inventory on hand at the time an order is placed. Items that must be restocked to fulfill an order may be subject to price adjustment.

Lead Times

Shipping, production, manufacturing, inventory in transit, and restocking lead times are subject to change without notice.

Payment of Invoices

Unless otherwise stated in StayOnline's quotation or previously agreed upon credit terms, you must make payment within thirty (30) days of the invoice date. If you have not paid an invoice in full by the due date, StayOnline may charge a service charge, equal to 1.5% of the total order price, each month until the invoice is paid in full. Service charges will be calculated on a daily basis. StayOnline may, at any time, decline to make any shipment or perform any work if you have unpaid invoices. Your responsibility for payment to StayOnline shall not be contingent on your receipt of payment from a third party. You are responsible for paying all costs and expenses, including reasonable attorney's fees, incurred by StayOnline to collect any past due amount.

Shipments delayed at the customer's request may be subject to a pro-rated monthly warehousing fee in an amount no greater than 5% of the total invoice amount per month. Any permission(s) granted for delay of order release do not waive StayOnline's right to ship and bill at any time in the future without notice.

Order Cancellation and Modification

Orders for stocked items may only be modified or cancelled within one hour of the time when they were placed. Please review your order for accuracy before submitting it.

Orders that have already been partially shipped may be cancelled or modified in StayOnline's sole discretion.

Orders for custom assembled, custom made, custom molded, special ordered, or otherwise not commonly stocked products are non-cancelable, non-returnable ("NCNR"). By placing an order for a not commonly stocked product, you acknowledge that the product is NCNR.

Incomplete Shipping Information

If you place an order but fail to provide complete and accurate shipping information, StayOnline reserves the right to ship the order to the shipping address we have on file for you and bill you for the order; provided, however, that, prior to shipping an order to a prior shipping address that we have on file for you, we will make a reasonable effort to cure any address deficiency in the corresponding order.

Additionally, any corrector fees or additional shipping charges from a shipping carrier to StayOnline will be billed to the customer.

Automatic Authorization to Bill Payment Method and Ship to Address on File

Unless specifically indicated or requested otherwise by you, we will automatically deliver orders per prior shipping information provided, and charge you per prior billing information provided through your account, and not on a per order basis, whether such information is provided through a prior purchase order, over the telephone, through your Site account, or otherwise, but only if the shipping charges incurred by us, and passed along to you, do not exceed $250 USD. If the shipping charges would exceed $250 USD, then we will contact you for approval prior to shipping. Without limiting any of the foregoing, we reserve the right to ship any order on our general shipping account and to bill you for shipping such order after the fact at reasonable rates determined by us.

International Orders

International orders that qualify for payment by credit card will receive the option at checkout to pay via credit card. All other international orders must be paid via wire transfer or PayPal. Ensure your wire transfer is in the amount of the "Grand Total" on the "Payment Information" page. You are responsible for any wire transfer fees charged by your bank.

We will process and ship your order when receipt of funds has been confirmed. This may take several business days depending on how long the wire takes to post.

You are responsible for customs, duties, brokerage fees, and any other charges that may be assessed upon delivery. The carrier will collect these fees prior to delivery.

All international deliveries are made pursuant to a shipment contract. This means that the risk of loss for the items passes to you upon our delivery to the carrier.

If your order weighs more than 100 pounds, it may qualify for a better freight rate. If you would like a quote, please email Orders@stayonline.com. Keep in mind this may slow down your order processing.

Credit Card Disputes

Your charge will appear from "ALDER SOL Holdings, LLC" on your credit card statement. Please call 1-888-346-4688 or send an email orders@stayonline.com before disputing a charge. We will be glad to discuss the charge and your order with you.

Our Right to Cancel or Limit Orders

We reserve the right to refuse any order you place with us. We may, in our sole discretion, limit or cancel quantities purchased per person, per household, or per order. In the event that we make a change to or cancel an order, we may attempt to notify you by contacting the e‑mail address, billing address, or phone number provided at the time the order was made. Without limiting the foregoing, we will not ship to countries or other territories restricted by applicable law, regulation, rule, or sanction. In addition, please be aware that some products may only be shipped to limited territories as indicated on product pages on the Site.

SHIPPING POLICIES

Ex Works (EXW) or Free Carrier (FCA) Shipment

All shipments are made Ex Works (EXW) or Free Carrier (FCA), as defined by Incoterms® 2020 unless otherwise noted during the sale process.

Timing of Shipments

Orders for in-stock items received by 3:00pm Eastern time, Monday through Friday, should ship the same day. Larger orders, including palletized freight or LTL shipping, may take longer to process. Orders for in-stock items placed after 3:00pm Eastern time will ship the next business day.

Items that ship directly from the manufacturer are subject to the manufacturer's shipping policies and procedures. These policies and procedures are not under our control. Generally, manufacturers will ship items within two business days, provided they are in stock at the manufacturer's warehouse. Some items are built-to-order or require configuration prior to shipping, and do not ship immediately.

Custom Orders, bulk cord, LTL or palletized shipments may ship the following business day.

The shipment date stated in any quote or order acknowledgement is StayOnline's best approximation of the probable shipment date and is not a fixed or guaranteed shipment date. StayOnline shall not be liable for special, consequential, incidental or any other damage or loss resulting, whether directly or indirectly, from delayed shipments or our inability to ship as quoted.

Shipping Restrictions

We ship only via USPS to U.S. Military (APO/FPO) addresses.

We do not ship to post office boxes under any circumstances.

We may not ship to construction sites or undeveloped land.

Some items we sell are not eligible for certain carriers and/or services, usually because the item exceeds the carrier's weight or dimensional limits for a particular service. Products of this nature usually ship via common carrier (such as a trucking company) and may require extra time to arrive.

Air freight shipments are only available EXW StayOnline USA or StayOnline Hong Kong. Any air freight billed through StayOnline on behalf of a customer will have a 5% service charge applied. Service charges are limited to air services costs only and will not be applied to taxes or tariffs, which are the sole responsibility of the customer.

Shipping Rates

Our Site retrieves rates from each of our carriers' servers as you add items to your cart and again at checkout. These charges are calculated by the carriers themselves based on their own current rates, the shipping origin (provided by us), the shipping destination ZIP code (provided by you), and the weights and/or dimensions of the items in your order. The rates provided when you preview estimated shipping charges may vary from the actual charges at checkout based on the specific street address (estimates use only ZIP code), whether you change the selected shipping service, and other factors.

Notwithstanding, we reserve the right to ship any order on our general shipping account and to bill you for shipping such order after the fact at reasonable rates determined by us.

Partial Shipments

Some orders ship in multiple packages. For these orders, all packages may not arrive at the same time. Unless otherwise noted in any quote, partial shipments may be made upon request and may be subject to additional shipping and handling charges.

Shipments from StayOnline Hong Kong of less than one pallet may be subject to a small order charge. This charge will not exceed $800.

Shipment to APO/FPO addresses

We ship via USPS to APO/FPO addresses anywhere in the world. Follow these instructions while placing an online order to ship to an APO/FPO address:

Select USPS as your carrier. APO/FPO addresses are served only by USPS.
During checkout, enter APO or FPO (as applicable) in the City field.
Select one of the following (as applicable) from the "State" menu:
1. Armed Forces America (AA)
2. Armed Forces Other Areas (AE)
3. Armed Forces Pacific (AP)
Select United States from the "Country" menu, regardless of where the recipient is stationed.

Items which are not eligible for shipment via USPS due to weight, dimensional, or other restrictions cannot be shipped to APO/FPO addresses.

International Shipments (other than FPO/APO)

International orders require pre-payment via wire transfer, PayPal, or, in some cases, credit card. We can also drop ship orders for our domestic customers in many cases.

Shipping Errors

To be eligible to receive adjustments, you must report shipping errors to us within 7 calendar days of receiving your shipment.

RETURN AND REFUND POLICIES

Shipping charges for returns

You are responsible for all shipping charges incurred when shipping an item back to us for a refund or exchange, unless the reason for the return is a result of our error. The original shipping charges associated with shipping the order to you are not refundable, unless the reason for the return is a result of our error. If you are exchanging an item, additional shipping charges will apply when the new item ships to you.

Returns for Exchange (defective products only)

Defective items will be replaced with the same item, free of shipping charges, if our exchange procedures are followed:

Reply to your order confirmation to request a return authorization number (RMA). If you no longer have your order confirmation email, email us and include the order ID number, the name on the order, and the email address so we can find your order. You will receive a reply with a return authorization number (RMA) within 2 to 4 business days. You must affix the return authorization number (RMA) to the outside of the package that you ship back to us or the package will be refused.
The RMA process must be started or StayOnline must have been notified regarding any concerns of order accuracy, quality, product form, fit, or function within 30 days of original receipt date to be eligible for a refund. Requests for returns for any reason other than quality, manufacturer defect, form, fit, or function after 30 days may be approved at StayOnline's sole discretion.
You must ship the product inside a cardboard box with sufficient packaging to prevent damage.
The product must be 100% complete, in original packaging, and in resalable condition or we reserve the right to deny the return or apply additional restocking charges.
Ship via a carrier that provides tracking numbers in order to provide proof of delivery to our warehouse.
The product serial number must match the serial number logged at the time the order shipped.
Include a copy of your invoice, note that it is for a same item defective exchange, and state the defect.
If you want to purchase a different item, place a new order online.

Items returned to another address will not be exchanged.

If you are returning an item internationally, you are responsible for customs, duties, taxes, and other similar charges in addition to the shipping charges.

New product

StayOnline only markets and sells new products. A product is considered "new" if it meets the following specifications:

It has been stored in accordance with StayOnline's prescribed storage procedures, protecting it from environmental factors such as moisture, dust, heat and direct sunlight;
It has never experienced any electrical load cycling or been connected to a power source in a manner that would introduce electrical current through the cord (excluding that required for factory Hi-pot dielectric testing); and
It has not been exposed to excessive heat or any other conditions outside of the recommended storage environmental parameters.

This definition applies to all products manufactured, distributed, or sold by StayOnline, and serves as the basis for product classification, warranty eligibility, and inventory controls.

Returns for Refund

A restocking charge, up to or equal to 25% of the original order cost, may apply to all returns for refund. To be eligible to receive a refund, you must follow these procedures:

Reply to your order confirmation to request a return authorization number (RMA). If you no longer have your order confirmation email, email us and include the order ID number, the name on the order, and the email address so we can find your order. You will receive a reply with a return authorization number (RMA) within 1 to 2 business days. You must affix the return authorization number (RMA) to the outside of the package that you ship back to us or the package will be refused.
The product must be received at StayOnline within 30 days of original receipt date to be eligible for a refund.
You must ship the product inside a cardboard box with sufficient packaging to prevent damage.
The product must be 100% complete, in original packaging, and in resalable condition or we reserve the right to deny the refund or apply additional restocking charges.
Ship via a carrier that provides tracking numbers in order to provide proof of delivery to our warehouse.
The product serial number must match the serial number logged at the time the order shipped.
Include a copy of your invoice, note that it is for a refund, and state reason for the return.

Items returned to another address will not be refunded.

Refunds are made to the original credit card or by a mailed company check if cash or check were originally used.
Original shipping charges and return shipping charges are non-refundable. Upon our receipt of your return, your refund will be processed within 30 days.
If you are returning an item internationally, you are responsible for customs, duties, taxes, and other similar charges in addition to the shipping charges.

LIMITED WARRANTY; LIMITATION OF LIABILITY

StayOnline warrants to the original purchaser that products manufactured and sold by StayOnline shall be free from defects in workmanship and materials for so long as the original purchaser uses the product. StayOnline shall, it its option, repair or replace any product that proves to be defective because of a defect in workmanship or materials. This warranty does not apply to damage resulting from accident, alteration, transportation, abuse, or misuse, as well as damage from normal wear and tear. The Site and all information, content, materials, products, services, and user content included on, or otherwise made available to you through, the Site are provided by StayOnline on an "as is," "as available" basis, without representations or warranties of any kind. StayOnline makes no representations or warranties of any kind, express or implied, as to the operation of the Site, the accuracy or completeness of the Site contents, or that emails sent from StayOnline are free of malware or other harmful components. You expressly agree that your use of the Site is at your sole risk. To the full extent permitted by law, StayOnline disclaims any and all representations and warranties with respect to the Site and the Site contents, whether express or implied, including, without limitation, warranties of title, merchantability, and fitness for a particular purpose.

In no event shall StayOnline or its agents be liable for any damages, whether direct, indirect, incidental, special, or consequential, or for any damages arising from loss of profits, revenue, data, or use incurred by you or any other party, whether arising in contract or tort, arising from your access to, or use of, this website or any linked website or the information contained therein.

In no event shall StayOnline's total liability to you for any and all damages, losses, and/or causes of action exceed the amount paid by you, if any, to StayOnline for the specific merchandise at issue.

Under no circumstances shall StayOnline or its parents, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns, and employees be liable for any direct or indirect losses or damages arising out of or in connection with your use of or inability to use the Site. This is a comprehensive limitation of liability that applies to all losses and damages of any kind (whether general, special, consequential, incidental, exemplary, or otherwise, including, without limitation, loss of data, income, or profits), whether in contract or tort, even if StayOnline has been advised of or should have known of the possibility of such damages. If you are dissatisfied with the Site, any content of the Site, or these Terms, your sole and exclusive remedy is to discontinue using the Site. You acknowledge, by your use of the Site, that your use of the Site is at your sole risk. Applicable law may not allow the limitation of liability set forth above, so this limitation of liability may not apply to you, and you may have rights additional to those contained herein.

INDEMNIFICATION

You agree to indemnify, defend, and hold harmless StayOnline and any of StayOnline's parents, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns, and employees from any claim or demand, including reasonable attorneys' fees, made by any third-party, due to or arising out of your breach of these Terms or the documents they incorporate by reference, or your violation of any law or the rights of a third-party.

FAILURE TO EXERCISE RIGHTS NOT WAIVER

The failure of StayOnline to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

SEVERABILITY

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law. The remaining provisions will continue in full force and effect

ENTIRE AGREEMENT

These Terms and any other policies posted by StayOnline on this Site constitutes the entire agreement and understanding between you and StayOnline and govern your use of the Site and your interactions with StayOnline, superseding any prior or contemporaneous agreements, communications, and proposals, whether oral or written, between you and StayOnline (including, without limitation, any prior versions of the Terms), except as explicitly provided in an extraneous written contract between you and StayOnline.

GOVERNING LAW

This website is controlled by StayOnline from its offices in Henderson, North Carolina, United States of America. All matters relating to your access to, or use of, this website shall be governed by the laws of the state of North Carolina and the laws of the United States. Any and all disputes arising from or relating to your access to, or use of, this website or the information it contains shall be decided solely and exclusively by state or federal courts located in Vance County, North Carolina. You and StayOnline agree to submit to the jurisdiction of, and agree that venue is proper in, these courts in any such legal action or proceeding.

AMBIGUITIES NOT CONSTRUED AGAINST DRAFTING PARTY

Any ambiguities in the interpretation of these Terms shall not be construed against the drafting party.

DISPUTE RESOLUTION

If you have any concerns or disputes, you agree to first try to resolve the dispute informally by contacting us before initiating or joining any legal action against StayOnline.
